US LLC, C-Corp, UK Ltd, UAE FZCO, India Private Limited or Singapore Pte Ltd: Which Entity Type Fits Global Founders?

Short answer

Usually the right entity is the one that matches where your customers, investors and team are, not the lowest headline tax rate. A Delaware C-Corp suits US venture funding; a US LLC suits a simple owner-run US business; a UK Ltd suits UK and European trade; a Singapore Pte Ltd suits Asia-Pacific holding and fundraising; a UAE FZCO suits Gulf-based operations; an India Pvt Ltd suits Indian operations.

Key takeaways

  • A US LLC owned by one foreign person is disregarded for US income tax, while a C-Corp pays a 21% federal corporate tax plus any state tax.
  • Singapore requires at least one locally resident director and India requires at least one director resident in India; the UK, US and most UAE free zones have no local director rule.
  • UAE corporate tax is 9% on taxable income above AED 375,000, and qualifying free zone persons can access 0% on qualifying income if they meet the conditions.
  • Home-country tax rules can treat a US LLC as a company even though the US treats it as transparent, which can create double taxation or credit problems.
  • Investors usually expect a specific vehicle in their market: Delaware C-Corps for US venture capital and Singapore Pte Ltds for much Southeast Asian venture capital.

The six entities at a glance

US C-CorpLimited21% federal plus state taxAt least one director and the officers the bylaws require; no residency ruleVenture-backed startups, US subsidiaries of foreign groups
UK private limited (Ltd)Limited25% main rate; 19% small profits rateAt least one director who is a natural person; no residency ruleUK and European customers, credibility with UK partners
UAE free zone company (FZCO)Limited9% above AED 375,000; 0% possible on qualifying incomeSet by the free zone; usually a manager and directorGulf operations, regional hub, residence visas
India private limited (Pvt Ltd)LimitedAbout 25% effective under the concessional regime (22% plus surcharge and cess)Two directors, one resident in India; two shareholdersIndian operations, Indian hiring and domestic customers
Singapore private limited (Pte Ltd)Limited17% headline with partial exemptionsOne locally resident director plus a company secretaryAsia-Pacific holding, regional fundraising

Headline rates ignore state taxes, withholding taxes on payments abroad, and the owner's home-country tax, which together often decide the real cost.

US LLC or C-Corp: the decision most foreign founders face first

An LLC is flexible and light to run. Owned by one non-US person, it files a pro forma Form 1120 with Form 5472 rather than a full tax return, and income is generally taxed to the owner only where it is US-connected. That simplicity has limits: US venture investors rarely invest in LLCs, and many foreign tax authorities do not recognise a disregarded entity, which can leave profits taxed in the home country with no matching US tax credit, or the reverse.

A C-Corp is taxed on its own profits and pays withholding tax on dividends to foreign shareholders unless a treaty reduces it. In exchange it is the vehicle US investors, employees with stock options and enterprise customers recognise. A C-Corp that is at least 25% foreign-owned also files Form 5472 with its Form 1120 for related-party transactions.

Rule of thumb: owner-run, profit-distributing business with no outside investors leans LLC; anything raising capital, issuing equity or acting as a subsidiary of a foreign company leans C-Corp.

UK Ltd, Singapore Pte Ltd and UAE FZCO compared

  • UK Ltd is quick to form online and has no residency requirement for directors, but everything is public: directors, people with significant control and annual accounts appear on Companies House. Directors and PSCs now need identity verification. Banks typically still look for a genuine UK business connection.
  • Singapore Pte Ltd combines a credible regional brand, an extensive treaty network and a territorial-leaning tax system. The constraint is the locally resident director requirement, which non-resident founders usually satisfy through a relocating employee, an Employment Pass holder or a nominee arrangement that banks scrutinise carefully.
  • UAE FZCO offers full foreign ownership inside the free zone and access to UAE residence visas tied to the licence. Rules on capital, office space and visa quotas differ by free zone, and selling directly into the UAE mainland market can require additional licensing or a distributor. The 9% corporate tax and transfer pricing rules now apply, so the UAE is no longer a no-filing jurisdiction.

Where India Private Limited fits, and our role

An India Pvt Ltd is the standard vehicle for operating in India: it needs at least two directors and two shareholders, one director who stayed in India for at least 182 days in the financial year, a statutory audit every year regardless of size, and filings with the Ministry of Corporate Affairs. Foreign investment into it is governed by India's foreign direct investment rules.

We include it so that global founders can compare like with like. NYBACS does not incorporate or provide entity services in India; Indian formation is best handled by an Indian chartered accountant or company secretary. Where we help is outbound: an Indian company or founder setting up a US, UK, UAE or Singapore entity, including the overseas investment paperwork the Indian side needs.

Five questions that settle the choice

  1. Where are the customers and contracts? Enterprise buyers often require a local contracting entity.
  2. Who will invest, and what do they expect? Investor-mandated structures are hard to change later without a costly flip.
  3. Where will people work? Employees and decision-makers create tax presence and payroll duties wherever they sit, regardless of where the entity is registered.
  4. How does your home country tax this entity? Controlled foreign company and place-of-management rules can pull profits back into home-country tax.
  5. Can you open and keep a bank account? A structure that no bank will onboard is not a structure.

A facts-based review of these five points usually narrows six options to one or two quickly.

Common mistakes to avoid

  • Choosing a US LLC for a business that plans to raise venture capital, then paying for a conversion to a C-Corp within a year.
  • Assuming a home tax authority will treat a disregarded US LLC as transparent, without checking local rules.
  • Forming a Singapore Pte Ltd without a realistic plan for the locally resident director.
  • Picking a UAE free zone purely on licence price without checking visa quotas, office requirements or mainland trading limits.
  • Comparing only headline corporate tax rates and ignoring dividend withholding tax and statutory audit costs.
  • Registering in one country while every decision-maker lives and works in another, creating management and residence risk.

Frequently Asked Questions

Can I start with an LLC and convert to a C-Corp later?

Yes. US states allow statutory conversion and investors are used to seeing it, but conversion has legal cost and potential tax consequences for the owner. If a funding round is planned within a year or two, starting as a C-Corp is usually cleaner.

Is a UAE free zone company tax-free?

Not automatically. UAE corporate tax applies to free zone companies, and the 0% rate is available only on qualifying income for a qualifying free zone person that meets substance and other conditions. Non-qualifying income is taxed at 9%.

Which entity is easiest to bank as a non-resident?

No entity type is easy by default. Banks look at where owners live, the business model, the money flows and local presence. A US entity selling to US customers or a UK Ltd with UK activity is generally easier to explain than an entity with no link to its jurisdiction.

Can one founder own several of these entities at once?

Yes. Many global founders hold, for example, a Delaware C-Corp for US customers and a UAE or Singapore company for regional operations. Each entity has its own filings, and dealings between them need written agreements and arm's-length pricing.

Do I need a local partner to own a Singapore or UK company?

No local shareholder is required in either country. Singapore requires a locally resident director, not a local owner; the UK requires neither.
