US Annual Compliance and State Filing Services

NYBACS Services

For US LLCs and corporations — especially those with owners outside the US — that need to stay in good standing without tracking every state deadline themselves. We run your compliance calendar, file annual reports and franchise tax, check that Delaware franchise tax is calculated on the cheapest permitted method, register you in the states where you actually do business and obtain good standing certificates when banks or counterparties ask. If filings have lapsed, we bring the entity back into good standing.

Who this service is for

  • Non-US founders with Delaware, Wyoming or other US entities who are not in the US to receive state notices
  • Delaware C-Corps that received a franchise tax bill far larger than expected
  • Companies formed in one state but operating, hiring or holding inventory in another
  • Foreign parents managing several US entities that need one compliance calendar
  • Entities that have lapsed, been declared void or forfeited, and need reinstatement

Why clients come to us

Key problems we solve

Missed deadlines sent to an old address

State reminders often go to a registered agent or a former address. A missed Delaware annual report triggers a penalty and, if left unpaid, loss of good standing.

Delaware franchise tax shock

Corporations with many authorized shares can receive large assessments under the default Authorized Shares Method. Recalculating under the Assumed Par Value Capital Method often reduces the tax substantially, but it needs gross assets and issued share data.

Doing business in a second state without registering

Employees, an office or a warehouse in another state usually require foreign qualification there. Operating unregistered can mean penalties and losing access to that state's courts.

No good standing when the bank asks

Banks, payment processors, investors and overseas authorities often request a recent certificate of good standing or apostilled documents — at short notice.

How it works

Our process

  1. 1

    Entity audit

We check every entity's status on the state registry, confirm the registered agent and principal address, and identify any missed filings or penalties.

  2. 2

    Nexus and registration review

We map where you have staff, property, inventory and sales, and confirm which states require foreign qualification or tax registration.

  3. 3

    Calendar setup

We build a compliance calendar for all entities and states and agree who approves and pays each filing.

  4. 4

    Filing cycle

Ahead of each deadline we collect the data needed, prepare and file the report, and store the state's confirmation in your record pack.

  5. 5

    On-demand support

Good standing certificates, apostilles, amendments and reinstatements handled as banks, investors or authorities request them.

Documents we’ll ask for

  • Formation certificate, EIN letter and current governing documents for each entity
  • Registered agent details and any state notices or penalty letters received
  • Current list of directors, officers or managers with addresses
  • For Delaware corporations: authorized and issued shares and total gross assets from the federal return or balance sheet
  • List of states where you have employees, offices, inventory, contractors or significant sales
  • Prior annual reports and franchise tax receipts, if available

Typical timelines

Key Delaware dates (other states vary by entity type and formation date):

FilingDue
Delaware corporation annual report and franchise taxMarch 1 each year
Delaware LLC and LP annual taxJune 1 each year

Late filings in Delaware attract a penalty plus monthly interest. Routine annual reports are usually filed within a few business days of receiving your data. Good standing certificates are often available within one or two business days; apostilles and certified copies depend on the state and courier time. Foreign qualification typically takes one to several weeks depending on the state. Reinstatement timing depends on how many years are missing and whether back taxes and returns must be filed first.

Why NYBACS

We check the math, not just the deadline

Every filing and certificate is stored in an organised record pack that you can hand to a bank, investor, auditor or immigration attorney.

Common questions

Frequently asked questions

Why is my Delaware franchise tax bill so high?

Delaware's default notice often uses the Authorized Shares Method, which can produce a large figure for corporations with millions of authorized shares. Many startups pay far less under the Assumed Par Value Capital Method, which uses issued shares and gross assets. We recalculate before filing.

What happens if we miss a Delaware filing?

Delaware adds a penalty and monthly interest, and continued non-payment leads to loss of good standing and eventually a void or cancelled status. A lapsed entity can usually be revived, but it costs more than filing on time.

Do I need to register in the state where I operate?

Usually, if you have employees, an office, inventory or other ongoing physical presence there. Selling remotely may instead create sales or income tax obligations without requiring foreign qualification. We review your facts state by state.

Is BOI reporting still required?

Under FinCEN's final rule effective August 14, 2026, companies created in the US are exempt from BOI reporting, while foreign companies registered to do business in a US state remain in scope. The rules may change again, so we monitor FinCEN updates for every client.

Can you take over from our current registered agent or provider?

Yes. We review your status, collect past filings and switch reminders to our calendar. Changing the registered agent itself is a simple state filing we can coordinate.

How quickly can I get a certificate of good standing?

If the entity is current, often within one or two business days, and faster where states issue certificates online. If filings are overdue, they must be brought current first.
