US Business Tax Filing Services for LLCs and C-Corps
NYBACS Services
For foreign-owned US LLCs, C-Corps and US subsidiaries that need their federal and state business returns filed correctly and on time. We turn your books and bank records into the right return — Form 1120, Form 1065 or a pro forma Form 1120 with Form 5472 — handle extensions and state returns, and coordinate with licensed CPAs for review and signing where required. You get a filed return, a clear record of what was reported and a calendar for next year.
Who this service is for
- Non-US owners of single-member US LLCs that need the pro forma Form 1120 and Form 5472
- Delaware and other US C-Corps, including startups with a 25% or greater foreign shareholder
- Multi-member LLCs taxed as partnerships with one or more foreign partners
- US subsidiaries of Indian, UK, GCC and other overseas parent companies
- Companies that have missed one or more prior-year filings and need to catch up
Why clients come to us
Key problems we solve
"No revenue, so no return"
A foreign-owned single-member LLC usually still has a filing because the owner's capital contributions and payment of formation costs are reportable on Form 5472, which carries a $25,000 penalty per form when missed.
Software that cannot file your return
Pro forma Form 1120 and Form 5472 for a foreign-owned disregarded entity cannot be e-filed and must be faxed or mailed, so consumer tax software often leaves founders stuck at the deadline.
Books that are not tax-ready
Unreconciled bank and Stripe accounts, mixed personal spending and unrecorded owner loans make it impossible to complete the return or the related-party schedules accurately.
State filings nobody tracked
A Delaware company with staff, customers or inventory in another state can owe income or franchise tax returns there. These are frequently missed until a state notice arrives.
Scope of work
What’s included
C-Corp returns (Form 1120)
Full federal corporate return with supporting schedules, and Form 5472 for each foreign related party where the corporation is 25% or more foreign-owned.
Foreign-owned single-member LLCs
Pro forma Form 1120 with Form 5472, built from a related-party transaction schedule covering contributions, distributions, loans and expenses paid by the owner, then faxed or mailed as the IRS instructions require.
Partnership returns (Form 1065)
Form 1065 with Schedules K-1 for each partner, and coordination of the separate withholding filings (Forms 8804 and 8805) that apply where there are foreign partners with effectively connected income.
Extensions (Form 7004)
Timely six-month extensions filed on or before the original due date, with an estimate of any tax due — an extension gives more time to file, not more time to pay.
State income and franchise tax returns
Nexus review and state returns where your activity creates a filing obligation, coordinated with Delaware franchise tax and annual reports handled under our annual compliance service.
Information returns and catch-up filings
Forms 1099-NEC and 1099-MISC for US contractors, Form 1042-S coordination for certain payments to foreign persons, and reconstruction and filing of missed prior-year returns with licensed tax professionals.
What this service does not include
- Representation before the IRS or a state in an examination or appeal — this requires a CPA, enrolled agent or attorney, whom we can coordinate with
- Formal tax opinions, transfer pricing studies or treaty-position memos
- Owners' individual returns such as Form 1040-NR, which are scoped separately or referred
- Payroll tax returns (Forms 941 and 940), which are normally filed through your payroll provider
- Any assurance of a particular tax outcome, refund or penalty abatement — results depend on your facts and the IRS or state decision
How it works
Our process
- 1
Entity and filing review
We confirm entity type, tax classification, ownership, fiscal year and states of activity, then list every federal and state return due and its deadline.
- 2
Books and records check
We review your bookkeeping and bank, card and payment-processor statements, and clean up or reconstruct the year where needed so the numbers tie out.
- 3
Extension if needed
If records will not be ready in time, we file Form 7004 and any state extensions before the original due date.
- 4
Return preparation and review
We prepare the return and related-party schedules, and a licensed CPA reviews and signs as preparer where the engagement requires it. You review a summary before anything is filed.
- 5
Filing and confirmation
We e-file where available or fax or mail where required, and keep proof of filing and IRS acknowledgements in your record pack.
- 6
Next-year calendar
You receive the next year's deadlines and a short list of record-keeping fixes that will make the next return faster.
Documents we’ll ask for
- Formation documents and EIN confirmation letter (CP 575 or 147C)
- Operating agreement or bylaws, cap table or membership ledger, and owner details including country of residence and foreign tax ID
- Full-year statements for every bank, card, fintech and payment-processor account (for example Stripe, PayPal, Amazon)
- Bookkeeping file or trial balance, if books are kept
- Records of owner contributions, loans, distributions and any expenses the owner paid personally for the company
- Contractor details and Form W-9 or W-8 forms collected during the year
- Prior-year federal and state returns and any IRS or state notices received
Typical timelines
Federal due dates for calendar-year entities:
| Return | Original due date | With Form 7004 |
|---|---|---|
| Form 1065 (partnership) | March 15 | September 15 |
| Form 1120 and pro forma Form 1120 with Form 5472 | April 15 | October 15 |
| Forms 1099-NEC to IRS and recipients | January 31 | Not extended by Form 7004 |
Due dates move to the next business day when they fall on a weekend or holiday, and fiscal-year entities follow different dates. State deadlines vary.
Once complete records are received, a straightforward pro forma Form 1120 with Form 5472 is typically prepared within 1–2 weeks; a full Form 1120 or Form 1065 usually takes 2–4 weeks. Clean-up or prior-year catch-up work adds time depending on transaction volume. To avoid a rushed filing, send records at least six weeks before the deadline or let us extend.

Why NYBACS
Foreign-owner filings are our core work
Form 5472, pro forma Form 1120, foreign partners on Form 1065 and 25%-foreign-owned C-Corps are the returns we handle most, not exceptions to a domestic template.
Books and return under one desk
Because we can also keep your books, the related-party schedules and the trial balance are built for the return from the start rather than patched in March.
Licensed sign-off where it matters
We coordinate with licensed CPAs for review and preparer signature where required, so you get specialist preparation with proper professional accountability.
Deadline discipline
Every engagement starts with a dated filing calendar, and we file extensions before the original deadline rather than after a missed one.
Catch-up without panic
Missed prior years are reconstructed from bank records and filed in a deliberate order, with penalty-relief questions reviewed by qualified professionals before filing.
Common questions
Frequently asked questions
My single-member LLC had no income. Do I still need to file?
Usually yes. If you funded the LLC, paid its formation costs or moved money between you and the company, those are reportable transactions on Form 5472, filed with a pro forma Form 1120.
Do I need an ITIN or SSN for the company's return?
The company files under its EIN. The foreign owner's details and foreign tax identification number are reported on Form 5472; a US taxpayer number for the owner is only needed in specific situations, which we will flag.
Can you file returns for years I missed?
Yes. We reconstruct each year from bank and payment records, prepare the late returns accurately and coordinate filing with licensed tax professionals. Whether penalty relief is available depends on the facts, so we review that before filing.
My company is in Delaware. Do I file state returns elsewhere?
Possibly. State income and franchise tax obligations follow where you have employees, offices, inventory or enough sales — not only where you incorporated. We run a nexus check as part of every engagement.
Does an extension delay paying tax?
No. Form 7004 extends the time to file by six months, but any tax owed is still due by the original deadline. Interest and late-payment penalties can apply to unpaid amounts.
Who signs the return?
An officer or authorized person of the company signs as the taxpayer. Where the engagement involves a paid preparer signature, a licensed professional we coordinate with signs as preparer.
